This Bripes Business Services Agreement ("BSA" or "Agreement") is between ProRequests, Inc. dba Bripes, a wholly owned subsidiary of Tarkle Limited ("Bripes", "we", "us", or "our"), and the organisation agreeing to these terms ("Customer").
This BSA governs Customer's access to and use of paid Bripes subscription services. By subscribing to a paid plan or using the Services, Customer agrees to be bound by this Agreement.
In the event of a conflict between this BSA and the Bripes Terms of Service, this BSA governs with respect to paid business subscriptions.
1. Parties and structure
Service owner: ProRequests, Inc. dba Bripes, a wholly owned subsidiary of Tarkle Limited, owns and operates the Bripes platform. Tarkle Limited holds all intellectual property in the Services. Licences and subscriptions are managed by ProRequests, Inc.
Customer: The organisation subscribing to the Services under a paid plan. Customer is responsible for all use of the Services by its administrators and team members.
2. The Services
2.1 Provision
Tarkle Limited will make the Services available to Customer for the duration of the applicable Subscription Term.

2.3 Service availability
Bripes targets 99.9% monthly uptime for core services on paid plans, excluding Scheduled Maintenance.
3. Customer obligations
Customer must provide accurate, current, and complete information when registering. Customer is responsible for all use of the Services by its authorised users and will ensure they comply with this Agreement.
Restrictions — Customer may not:
- Sell, resell, or sublicence the Services without prior written consent.
- Reverse engineer or attempt to extract source code from the Services.
- Use the Services to build a competing product.
- Remove or obscure any proprietary notices in the Services.
4. Customer data
Customer retains full ownership of all data uploaded. Bripes does not claim ownership rights in Customer data. On cancellation, data is retained for the remainder of the paid billing period plus a 30-day wind-down, then permanently deleted.

5. Subscriptions, billing, and payment
Subscriptions renew automatically unless cancelled before the renewal date. New subscriptions are eligible for a full refund within 14 days of the first payment. Full terms at bripes.com/legal/refund-policy.
6. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROREQUESTS, INC. DBA BRIPES, A WHOLLY OWNED SUBSIDIARY OF TARKLE LIMITED, MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROREQUESTS, INC. DBA BRIPES (A WHOLLY OWNED SUBSIDIARY OF TARKLE LIMITED) WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

| Bripes | ProRequests, Inc. dba Bripes, a wholly owned subsidiary of Tarkle Limited, the entity that owns and operates the Services. |
| Subscription Term | The monthly or annual period for which Customer has paid, renewing automatically unless cancelled. |
