1. Introduction and service description

These Terms of Service ("Terms") govern your access to and use of Bripes (the "Service"), a modern client portal, billing, and project management software for agencies selling productized services.

The Service is owned and operated by Tarkle, Inc. ("Tarkle", "we", "us", or "our"), a Wyoming corporation with registered offices at 1309 Coffeen Avenue, Suite 15023, Sheridan, WY 82801, United States.

Bripes enables agencies to manage client projects, tasks, payments, simplify communication, track deliverables, and collect feedback—all from one dashboard. The Service is available through bripes.io, bripes.com, and all related platforms (collectively, the "Site").

By accessing or using the Service, you confirm that you have reviewed, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you must not use the Service.

2. Account requirements and eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and are legally capable of entering into a binding contract.

To access certain features of the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials, keeping your account information current and accurate, all activities that occur under your account, and notifying us immediately of any unauthorized access.

Tarkle may suspend or terminate your account without advance notice if we determine you have violated these Terms, shared account access with unauthorized parties, misused the Service, or used the Service for unlawful purposes.

3. Service and features

Bripes provides agencies with tools to manage their operations, including client portal and communication management, project and task management, invoicing and payment processing, deliverable tracking and file sharing, and client feedback collection.

We may modify, update, suspend, or discontinue any part of the Service at any time, including features, functionality, or availability. For existing users, we will provide 30 days notice before making changes that materially affect their service. New users may experience changes without prior notice.

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for your use of the Service and for any content you upload, share, or transmit.

You may not use the Service to violate any applicable laws, regulations, or ordinances; engage in fraud, deception, impersonation, or other illegal activity; infringe on others' intellectual property, privacy, or other legal rights; distribute malware, viruses, or other harmful code; share or host content that is unlawful, defamatory, harassing, or hateful; send spam, unsolicited bulk messages, or perform abusive automation; interfere with or disrupt the Service, its infrastructure, or other users; circumvent usage limits, plan restrictions, or security measures; allow multiple people to use the same account to avoid incurring fees; or sell, resell, or sublicense your account or access to the Service.

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and cooperating with law enforcement where necessary.

5. Pricing and payment

Some parts of the Service are offered as paid subscriptions. Pricing, plan details, and billing cycles are described on the Site. Tarkle reserves the right to change service prices at any time.

By starting a paid subscription, you authorize us (and our third-party payment processors) to charge your payment method on a recurring basis until you cancel. All subscription payments are processed via credit card through our secure payment processor.

Price changes apply to new purchases and renewals. Existing users will be informed 30 calendar days before any changes affecting their service. New users may experience price changes without prior notice. All fees are exclusive of taxes. You are responsible for paying any applicable taxes, duties, and charges. Overdue payments may incur monthly interest of 1.5% on unpaid balances, or the maximum rate allowed by local law, whichever is lower.

6. Subscription and cancellation

Our services include subscription-based plans with automatically recurring payments. The subscription begins on your initial billing date and continues for the subscription period you select.

Your subscription will automatically renew for successive periods of the same duration unless you cancel or we terminate it. You may cancel your subscription at any time through our self-service billing portal or by visiting our contact page. Cancellations take effect at the end of the current billing period. You must cancel at least 24 hours before your renewal date to avoid being charged for the next billing cycle.

7. Refund policy

All payments are non-refundable except as explicitly stated below. By making payment, you acknowledge that you have reviewed our service scope, understood these Terms, and made an informed purchasing decision.

We offer a 14-day money-back guarantee exclusively for new customers on their first subscription payment. If you are not satisfied within the first 14 days of your initial subscription, you may request a full refund by visiting our contact page.

The 14-day guarantee applies only to the first payment of a new customer's first subscription. All subsequent subscription renewals are non-refundable. Plan upgrades, downgrades, or changes are non-refundable. The guarantee does not apply to returning customers or customers with previous subscriptions.

8. Your content and data

You retain full ownership of all files, content, and data you upload to or share through the Service ("Your Content"). Tarkle does not claim any ownership rights to Your Content.

By using the Service, you grant us a limited license to store, process, and transmit Your Content solely for the purpose of providing the Service to you. This includes making backups, generating previews, and sharing Your Content with recipients you designate.

You are solely responsible for backing up Your Content. While we implement backup systems, we recommend maintaining your own backups of important files.

9. Intellectual property

The Service and its original content, features, and functionality, including software, text, design, logos, and branding, are owned by Tarkle or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service; reverse engineer or attempt to extract source code, except as permitted by law; remove or alter any copyright, trademark, or proprietary notices; or use the Service to compete with Bripes.

10. Account deletion and data retention

You may terminate your account at any time through your account settings or by visiting our contact page. Upon termination, your right to use the Service will immediately cease.

Accounts are automatically deleted 6 months after service cancellation. This includes removal of all project files and data, deletion of account access credentials, and permanent loss of all stored materials with no recovery options available.

You are solely responsible for backing up and securing all important files before service cancellation.

11. Third-party services

The Service may integrate with or rely on third-party services (for example, payment processors, analytics, or integrations). Tarkle is not responsible for third-party services, and your use of them may be subject to additional terms and privacy policies from those third parties.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not guarantee that the Service will be uninterrupted, secure, or error-free, or that any data or content will be accurate, complete, or available at all times.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Tarkle, its affiliates, or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

To the extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of: (a) amounts you have paid to Tarkle for the Service in the six (6) months prior to the event giving rise to the claim, or (b) fifty dollars (US $50.00).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Tarkle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, Your Content, your violation of these Terms, or your violation of any applicable laws or third-party rights.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any disputes arising under or in connection with these Terms or the Service shall be resolved in the state or federal courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming. You consent to the personal jurisdiction of those courts.

The parties agree to bring claims against each other only on an individual basis and not as a plaintiff or class member in any purported class or representative action. Any cause of action or claim must be commenced within one year after the cause of action occurs.

16. Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. We may notify you of significant changes through platform notifications or updates posted on the Site.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
